Draft, pending founder approval. This text reflects our intended policy but has not yet been signed off by Joel (or Fiji-qualified counsel). We publish it now for transparency; the effective date and any final wording changes will be posted here on approval. Not a substitute for a signed contract.
Terms of Service — Speak-Easy Services
Status: DRAFT v2.0 · rewritten 2026-10-15 to match the platform as built · awaiting Joel's approval and review by Fiji-qualified counsel before publication. Last updated: 2026-10-15 Effective date: TBD
1 · Who you're contracting with
These Terms of Service (the "Terms") govern your use of Speak-Easy Services ("Speak-Easy", "we", "our"), a sole trader operated by Joel Kalubi, registered in Fiji and based in Suva. By creating an account, booking a service, requesting a quote or submitting work, you agree to these Terms.
If you accept these Terms on behalf of a company or organisation, you confirm that you have authority to bind it. The Terms then apply to you and to that organisation.

2 · What we do
We provide three kinds of service:
- Math tutoring for children — primary and secondary students, including exam preparation, taught at home in the Suva area or online by a tutor we match to your child.
- Language lessons — French, English and Fijian for adults, families and teams, one-to-one or in groups, at levels from A1 to B1, at home, at the learner's workplace or online.
- Translation and interpretation — certified and standard translation of documents, and live interpretation for meetings, conferences, courts, medical appointments and private events, in the language pairs shown on our translation page.
3 · How tutoring and lessons work
Matching. You tell us what you need. We choose a vetted tutor or teacher for the subject or language, level, location and times, and propose a schedule. You do not need to choose from profiles. You can ask us to change tutor or teacher at any time.
Vetting. We check a tutor's or teacher's qualifications before they join and review them regularly using parent and learner feedback, our own reviews and attendance.
Replacement. If your tutor or teacher cannot attend, we offer a replacement for the same subject, level and schedule. If we cannot, we refund or credit unused sessions (Section 9).
Reports. Tutors and teachers log each session. You receive progress reports at regular intervals.
Results. We work to help every learner progress, but we cannot guarantee exam results or a particular level by a particular date.
Language lessons: levels. You enrol one level at a time. We confirm your starting level in a short placement conversation before you pay.
4 · How translation works at Speak-Easy
Translation combines a senior linguist with AI tools to deliver accurate, certified work on tight timelines.
The legal author of every certified translation is the credentialed human translator who signs it — Joel Kalubi or a credentialed colleague holding a current Fijian Ministry of Justice translator licence. AI tools (Mistral AI's OCR and language-model services, as of this version of the Terms) provide an initial draft and a structured quality-review pass. The human translator reviews, edits and certifies the final output, applies their official stamp, and is responsible under Fijian law for the accuracy of the certified work.
If you do not want AI used on your document, tell us before you submit it; we will tell you whether we can accommodate that, and the price and turnaround.
5 · Accounts, children and your responsibilities
To book or submit work you create a client account with a valid email address. Corporate accounts can have several authorised submitters added by the account administrator.
Adults only. Accounts are held by adults (18 and over). Tutoring for a child, and lessons for anyone under 18, must be booked by a parent or guardian, who is our client, is responsible for the account and these Terms, and receives the reports.
You are responsible for:
- giving accurate contact information and, for children, accurate information about the learner's age band, level and needs;
- keeping your sign-in details secure;
- being available, or ensuring a responsible adult is available, as agreed when a lesson takes place at your home;
- the accuracy and lawfulness of any document you submit. You confirm you have the right to share it with us for translation.
Conduct and safety. We expect respectful behaviour from everyone in a lesson, in person or online. Tell us promptly about any concern; we will look into it and may pause or end a tutor's, teacher's or client's involvement where safety or conduct requires.
We may suspend or end an account that breaches these Terms or the law, or that we reasonably believe is used fraudulently.
6 · Prices, quotes and payment
Prices. All prices are in Fijian dollars (FJD). Current prices are published on our website:
- Math tutoring: FJD 75 per one-hour lesson.
- Language lessons: hourly packages priced per person, lower per-person rates for groups, as shown on the language lessons page. Corporate and on-site training is priced per group on request.
- Translation: per word, per page of certification and per rush level; interpretation: per hour, as quoted.
We confirm the price, and whether you are billed per lesson, per package or per term, in your booking confirmation or quote before you pay.
Quotes. We give a price quote for translation and interpretation within 4 working hours of your request (most are faster). A quote is valid for 7 calendar days unless it says otherwise. International clients may see equivalents in other currencies at automatically updated exchange rates, for information only; the FJD price applies.
Master rate agreements. Corporate clients with substantial recurring work may agree a master rate that applies to all work under the organisation's account.
How to pay. After you accept, we send payment details. Depending on the service, you can pay by bank transfer or by card (through Stripe) where card payment is enabled. Corporate clients may be invoiced once per term or per month, payable within 30 days, as agreed.
Late payment. Invoices unpaid after the due date may incur interest at 1% per month or a fixed fee, whichever is greater, plus reasonable collection costs. We may pause new work for accounts with overdue balances.
7 · Turnaround and rush work (translation)
Standard turnaround is stated on the quote. Rush work (same-day or under 3 days from submission) carries a surcharge, 40% by default, stated on the quote.
We commit to deliver by the quoted date unless prevented by circumstances beyond our reasonable control (illness of the assigned translator, infrastructure outage, force majeure). We will tell you as soon as practicable, give a revised date and, where the delay is material, credit part of the price.
8 · Delivery and re-issue (translation)
Certified translations are delivered through a secure, time-limited download link sent to you. You can request a fresh link at any time from your account, or by contacting us, during the 7 years we keep certified translations (see the Privacy Policy, Section 8). Re-issue is free.
9 · Refinements, cancellations and refunds
Translation refinements. If a certified translation has an accuracy issue or meaningful omission caused by us, we will correct it at no charge. A change of scope (more content, formatting, a different style brief or a new use) is quoted as a separate job. Requests must be made within 30 days of delivery. The original certified version stays valid as of the time it was certified; a refinement produces a new version that supersedes it going forward.
Translation refunds.
- Before we begin work: full refund on request.
- After we begin: a partial refund proportional to the work remaining, less costs already incurred (for example AI processing and translator time).
- After delivery: only for a material defect we cannot remedy by refinement.
Interpretation appointments.
- Cancelled more than 24 hours before: full refund.
- Cancelled 12–24 hours before: 50% retained.
- Cancelled less than 12 hours before, or no-show: full fee retained.
Tutoring and language lessons.
- Cancelled or rescheduled more than 24 hours before the lesson: no charge.
- Cancelled 12–24 hours before: half the lesson retained (as credit or charge, as agreed).
- Cancelled less than 12 hours before, or no-show: the full lesson is retained.
- If your tutor or teacher cancels and we cannot offer a replacement or a new time that suits you, we refund or credit the unused lessons.
- If you end tutoring or lessons part-way through a prepaid term or package, we refund the unused, unscheduled lessons, less any lessons already held or retained under this Section.
How refunds are paid. Card refunds go back through Stripe and typically arrive within 5–10 business days. Bank-transfer refunds are made by transfer to the account you tell us. We confirm timing in writing. For larger refunds, Joel will write to you directly to confirm the outcome before we process it.
10 · Confidentiality
We treat everything you give us as confidential. In particular:
- access is limited by role: the tutor, teacher or linguist assigned to you, Joel as administrator, and the coordination team where needed. Office staff do not see document contents, session notes or children's profiles;
- we do not share, reuse or repurpose your documents, messages or your child's information for another client or for our own marketing;
- our AI provider uses our content only to process it for us and may not use it to train its models (see the Privacy Policy, Section 6).
For corporate clients needing formal data-protection terms, see our Data Processing Agreement (DPA). A signed DPA prevails over these Terms on data-protection matters.
11 · Intellectual property
You keep all rights in your source documents. You give us a limited, non-exclusive licence to process and translate them to provide the service, for the retention period in the Privacy Policy.
We keep ownership of our methods, prompts, software, lesson materials and infrastructure. A certified translation is your work-product to use as you see fit — reproduction, attestation, submission to authorities and onward translation — within your original purpose. Lesson materials we provide are for the learner's own use and may not be resold or published.
12 · Limits on liability
We use reasonable skill and care. However:
- we are not responsible for losses resulting from reliance on a translation we did not certify (for example an AI draft we never reviewed, or a version superseded by a later certified one);
- our total liability for any single job, booking or package is capped at the price you paid for it;
- we are not liable for indirect, consequential or punitive loss, including lost profits, lost opportunity or third-party claims;
- these limits do not apply to fraud, gross negligence, wilful misconduct, or liability that cannot be excluded under Fijian law.
If a certified translation we delivered contains a material error, your remedy is the refinement and refund process in Section 9.
13 · Ending the relationship
Either party may end the working relationship at any time by written notice. Work already accepted will be completed or refunded under Section 9, and the retention periods in the Privacy Policy continue to apply.
We may end it immediately if you materially breach these Terms, fail to pay invoices or use the service unlawfully.
14 · Governing law and disputes
These Terms are governed by the law of Fiji. The courts of Fiji have exclusive jurisdiction over disputes under these Terms, subject to your right (where applicable) to bring a claim in your home jurisdiction under mandatory consumer-protection law.
Before formal action, both parties commit to try to resolve the dispute by direct communication for at least 30 calendar days.
15 · Changes to these Terms
We may update these Terms as our service or the law changes. Material changes are communicated to active clients at least 30 days before they take effect. Continued use of the service after the effective date means you accept them.
The "Last updated" date at the top is canonical. Earlier versions are kept and available on request.
16 · Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any executed DPA, are the entire agreement between you and Speak-Easy for the service.
- Severability. If a provision is unenforceable, the rest stays in effect.
- No waiver. Not enforcing a provision does not waive our right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them to a successor (for example if Speak-Easy is sold or restructured) that agrees to be bound by them.
